Please Read These Terms of Service Carefully Before Using The Lokali Platform and Services.

Welcome to Lokali! These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Lokali (referred to as “Lokali,” “we,” “us,” or “our”), a web development startup based in Petaling Jaya, Selangor, Malaysia.

These Terms govern your access to and use of the Lokali website, mobile applications, and all related services (collectively, the “Platform”). The Platform connects local service businesses (“Business Clients”) with local consumers (“End-Users”) and provides Google My Business (GMB) optimization services to Business Clients.

By accessing or using any part of the Platform, you agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines referenced herein. If you do not agree to all the terms and conditions of this agreement, you may not access the Platform or use any Services.

1. DEFINITIONS

Lokali / We / Us / Our: Refers to the web development startup, Lokali, operating from Petaling Jaya, Selangor, Malaysia.
Platform: Refers to the Lokali website, mobile applications, and all associated digital interfaces and functionalities.
Service(s): Refers to all services provided by Lokali through the Platform, including GMB optimization for Business Clients, and the deals/events hub for End-Users.
Business Client(s): Refers to local service businesses that subscribe to Lokali’s GMB optimization and platform access services.
End-User(s): Refers to individual consumers who use the Lokali Platform to discover local service providers, browse deals, and engage with community events.
User Content: Any content, data, information, reviews, images, videos, or other materials submitted, posted, or displayed by Users on the Lokali Platform.
Google Business Profile (GBP): The free business listing tool provided by Google, previously known as Google My Business.
Google Policies: All policies and guidelines published by Google, including but not limited to Google Business Profile Policies, Google Business Profile API Policies, Google Maps/Search policies, and Google Terms of Service.

2. LOKALI’S SERVICES

Lokali provides a dual-sided platform:

For Business Clients: We offer services aimed at optimizing and managing your Google Business Profile (GBP) to enhance online visibility and customer engagement, in addition to providing access to Lokali’s deals/events hub.
For End-Users: We provide a platform to discover trusted local service providers, browse exclusive deals, and find community events.

Lokali is a platform provider. We do not directly provide the services or sell the products offered by Business Clients listed on our Platform. Our responsibility is limited to facilitating the connection and providing the optimization tools.

3. FOR BUSINESS CLIENTS

3.1. Account Registration and Eligibility

To access Lokali’s services, you must register for an account and provide accurate, complete, and current information. You represent and warrant that you are a legitimate local service business operating in Klang Valley, Malaysia, and are authorized to enter into this agreement. You must be at least eighteen (18) years old and legally capable of forming a binding contract under Malaysian law (Contracts Act 1950 (ACT 136)).

3.2. Authorization for GBP Management

By signing up for Lokali’s services and linking your GBP, you explicitly authorize Lokali, through its integrated API tools, to:

Access and manage your GBP information (e.g., business name, address, phone, hours, categories).
Create, edit, and publish posts, photos, and videos on your GBP.
Access and respond to customer reviews and messages on your GBP.
Access GBP insights and analytics for performance tracking.

You acknowledge and agree that Lokali’s management of your GBP will be conducted in accordance with Google’s Business Profile API Policies and other applicable Google Policies.

3.3. Business Client Responsibilities and Warranties

As a Business Client, you represent, warrant, and covenant that:

Accuracy of Information: All information you provide to Lokali, for both your Lokali profile and your GBP, is true, accurate, current, and complete. You will promptly update any changes.
Compliance with Google Policies: You understand and agree that compliance with all Google Policies, particularly those related to GBP content and conduct, is your sole responsibility. Lokali will endeavor to assist you in complying, but Lokali shall not be liable for any penalties, suspensions, or loss of features imposed by Google due to your non-compliance, whether intentional or unintentional.
Legitimate Business Operations: Your business is legitimate, operates legally, and holds all necessary licenses and permits in Malaysia.
No Misleading or Deceptive Conduct: You will not engage in any misleading, deceptive, or unfair trade practices on the Lokali Platform or your GBP, as prohibited by the Consumer Protection Act 1999 (ACT 599), particularly Sections 9, 10, and 12. This includes, but is not limited to, making false representations about services, prices, or engaging in bait advertising.
Review Management Integrity: You will not offer incentives (e.g., discounts, free products/services) in exchange for customer reviews on GBP or the Lokali Platform, nor will you engage in any manipulation of the review system. Lokali’s service focuses on encouraging genuine feedback and managing responses ethically.
User-Generated Content Responsibility: You are solely responsible for all User Content you submit or authorize Lokali to submit on your behalf, including deal descriptions, business details, and responses to reviews. You warrant that such content does not violate any third-party rights (including intellectual property rights), is not defamatory, obscene, or unlawful, and complies with the Communications and Multimedia Act 1998 (ACT 588). Lokali reserves the right to remove any content deemed non-compliant.
Data Protection Compliance: You will comply with the Personal Data Protection Act 2010 (PDPA) (ACT 709) regarding any personal data you collect, process, or store from your customers, even if such data is not directly handled by Lokali. You will ensure that your business practices align with the principles of PDPA, including obtaining consent, ensuring data security, and respecting data subject rights.
Lawful Marketing: Your marketing and advertising practices, including any deals or promotions listed on Lokali, comply with Malaysian advertising codes and all applicable laws.
Indemnification: You agree to indemnify and hold harmless Lokali from any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising from your breach of these Terms, your violation of Google Policies, your non-compliance with Malaysian laws, or your use/misuse of the Services.

3.4. Payment and Fees

Lokali’s services are subscription-based or project-based, as outlined in your specific service agreement or during the sign-up process.
You agree to pay all applicable fees as per the agreed terms. All fees are quoted in Malaysian Ringgit (MYR).
Lokali reserves the right to charge Service Tax (SST) as mandated by the Service Tax Act 2018 (ACT 807), once Lokali’s revenue crosses the threshold for registration. Any applicable SST will be clearly indicated on your invoices.
Failure to pay fees may result in suspension or termination of your Lokali account and services.

3.5. Service Level and Limitations

Lokali will use commercially reasonable efforts to provide the Services as described. However, Lokali does not guarantee:

Specific rankings or placement on Google Search or Maps.
A specific number of reviews or customer interactions.
Uninterrupted or error-free operation of the Platform or its integration with Google’s services (as Google’s services are subject to their own operational limitations and changes).
Any particular business outcome or success from using the Services.

Lokali is not responsible for any changes, outages, or policy updates made by Google that may affect your GBP or the functionality of Lokali’s services.

4. FOR END-USERS

4.1. Account Registration (Optional)

You may choose to register for an End-User account to save preferences, track deals, or leave reviews on the Lokali Platform. You agree to provide accurate and current information.

4.2. Use of Platform

You may use the Lokali Platform to:

Browse and discover local service businesses.
View business profiles, including information synced from GBP.
Browse and redeem deals and offers provided by Business Clients.
Read and submit reviews about Business Clients on the Lokali Platform.

4.3. User Content (Reviews on Lokali Platform)

If you submit reviews or other content on the Lokali Platform:

You grant Lokali a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.
You warrant that your User Content is truthful, based on actual experience, and does not violate any third-party rights, is not defamatory, obscene, harassing, hateful, or unlawful, and complies with the Communications and Multimedia Act 1998 (ACT 588) regarding content.
Lokali reserves the right to remove any User Content that violates these Terms or applicable laws.

4.4. Deal Redemption

Lokali displays deals and offers from Business Clients. All deals are subject to the terms and conditions set by the individual Business Client.
Lokali is not responsible for the fulfillment, quality, or legality of any deal or service offered by a Business Client. Any disputes regarding a deal or service must be resolved directly with the Business Client.

4.5. Disclaimer on Third-Party Services

Lokali is a platform for connection. We do not endorse or guarantee the quality, safety, or legality of any services provided by Business Clients listed on our Platform. You engage with Business Clients at your own risk.

5. GENERAL TERMS (APPLICABLE TO ALL USERS)

5.1. User Conduct and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

Violating any applicable law or regulation, including but not limited to Computer Crimes Act 1997 (ACT 563).
Posting or transmitting any unlawful, defamatory, obscene, offensive, or otherwise objectionable content.
Hacking, “scraping,” or otherwise attempting to gain unauthorized access to the Platform, other user accounts, or Lokali’s systems.
Introducing viruses, malware, or any other harmful code.
Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
Sending unsolicited communications, spam, or promotional materials in violation of PDPA (ACT 709).
Infringing upon Lokali’s or any third party’s intellectual property rights, including copyright, trademark, and industrial designs. (Refer to Intellectual Property Corporation of Malaysia Act 2002 (ACT 617) and related IP laws).
Disrupting the normal flow of dialogue or otherwise acting in a manner that negatively affects other users’ ability to engage in real-time exchanges.
Collecting or storing personal data about other users without their express consent.

5.2. Intellectual Property Rights (Lokali’s IP)

The Platform, including all content (excluding User Content), text, graphics, logos, icons, images, software, and the compilation thereof, is the exclusive property of Lokali or its licensors and is protected by Malaysian and international copyright, trademark, and other intellectual property laws.
“Lokali” and its logo are trademarks of Lokali. You may not use these without Lokali’s prior written permission.
Your use of the Platform grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal and non-commercial use (for End-Users) or for managing your legitimate business profile (for Business Clients), in accordance with these Terms.

5.3. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. LOKALI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

5.4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOKALI, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE PLATFORM OR SERVICES. IN NO EVENT SHALL LOKALI’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO LOKALI, IF ANY, IN THE PAST TWELVE (12) MONTHS FOR THE SERVICES GIVING RISE TO THE LIABILITY.

5.5. Indemnification

You agree to defend, indemnify, and hold harmless Lokali, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

Your violation of these Terms or any applicable law.
Your use of the Platform or Services.
Your User Content.
For Business Clients: Your non-compliance with Google Policies or any actions taken by Google regarding your GBP.

5.6. Dispute Resolution

Informal Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof (collectively, “Disputes”), the parties shall first attempt to resolve the Dispute informally through good faith negotiations.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles. The enforceability of these terms is consistent with the Contracts Act 1950 (ACT 136).
Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Selangor, Malaysia. You hereby consent to the personal jurisdiction of such courts.

5.7. Amendments to Terms

Lokali reserves the right to modify or revise these Terms at any time, in its sole discretion. We will provide notice of such changes by updating the “Last Updated” date at the top of these Terms. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to any of the updated Terms, you must stop using the Platform.

5.8. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

5.9. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Lokali regarding the use of the Platform and Services.

5.10. Force Majeure

Lokali shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
